CLICKWRAP CONSENT
IMPORTANT — PLEASE READ CAREFULLY. This is a legally binding agreement between you ("Client") and ATH•NA Executive vCard OS ("ATH•NA," "Provider," "we," "us"). By ticking the checkbox and tapping Generate My ATH•NA ID, you confirm you have read, understood, and agree to every provision herein. This constitutes valid clickwrap consent under Philippine contract law. If you do not agree, do not register or use the System.

Definitions
"ATH•NA" / "System" — The ATH•NA Executive vCard OS in its entirety: the web-based digital vCard, ATH•NA OS (including Address Book, Upcoming, and Tag modules), ATH•NA ID authentication system, vCard Generator tool, license management engine, and all associated back-end infrastructure.
"Provider" / "ATH•NA" — The individual or entity operating ATH•NA Executive vCard OS, reachable at phpx.migratex@gmail.com.
"Client" / "Owner" / "You" — Any individual or business entity that registers an ATH•NA ID and accesses the System, whether on a Free Trial, Monthly, or Lifetime plan.
"Visitor" / "Contact" — Any third party who views the Client's digital vCard and voluntarily submits their contact details via the vCard Exchange Form.
"ATH•NA ID" — The unique system-generated identifier (format: ATH-XXXXXXXXX) permanently assigned to a Client upon registration. It serves as the Client's username and cannot be transferred or reassigned.
"PIN" — The 6-digit numeric credential paired with the ATH•NA ID for authentication. The Client is solely responsible for its confidentiality.
"License" — The right to access and use the System under one of three plans: (a) Free Trial, (b) Monthly Subscription, or (c) Lifetime Access.
"OS Data" — All data created or stored by the Client within the System, including contact records, transaction entries, wallet balances, meeting bookings, owner profile information, and view counts.
"Visitor Data" — Personal information submitted by Visitors through the vCard Exchange Form: full name, title/company, email address, and mobile number.
"Personal Information" — As defined under the Data Privacy Act of 2012 (RA 10173): any information that directly or indirectly identifies a natural person.

Acceptance & Eligibility
This Agreement is accepted exclusively through the clickwrap mechanism on the registration screen: ticking the Terms of Service checkbox and submitting the registration form. This single action constitutes the Client's full and informed consent. No "first use" or implied acceptance applies — only explicit checkbox consent.
By accepting, the Client represents that they are: (a) at least 18 years of age, (b) legally competent to enter into binding contracts under Philippine law, and (c) registering for legitimate professional or business purposes.
Visitors who submit their information via the vCard Exchange Form are subject to the separate Visitor Privacy Notice displayed on the Exchange Form at the point of submission — not this Client Agreement.

ATH•NA ID & Authentication
Upon successful registration, the Client receives a permanent ATH•NA ID (e.g., ATH-000000001) and a system-generated 6-digit PIN. These credentials are displayed once at registration and must be saved immediately by the Client. ATH•NA does not store PIN values in recoverable form.
ATH•NA cannot recover a lost PIN. If the Client loses their PIN, the account is inaccessible. The Client acknowledges this limitation and accepts sole responsibility for credential custody.
The Client may change their PIN at any time via Tag → Change PIN, provided they can authenticate with the current PIN. Each ATH•NA ID is unique, permanent, non-transferable, and tied to one (1) individual Client only.
The Client is solely responsible for all activity occurring under their ATH•NA ID. Any suspected unauthorized access must be reported immediately to phpx.migratex@gmail.com.

License Plans, Fees & Payment
⏳ Free Trial — ₱0
7 calendar days of full System access, automatically activated upon registration. Only one (1) Free Trial is permitted per ATH•NA ID. Upon expiry, OS access is suspended until a paid plan is activated. OS Data is retained for 30 days after trial expiry before permanent deletion.
📅 Monthly Subscription — ₱999/month
30-day rolling access, renewed manually by the Client. No automatic billing. License activates within 1–2 business hours of payment verification. Monthly licenses are non-refundable once activated.
♾️ Lifetime Access — ₱9,999 one-time
Permanent, unrestricted access to the System for the lifetime of the ATH•NA platform. Includes all future feature updates at no additional charge. Strictly non-refundable once payment is verified.
Payment Process: All payments are made via manual bank transfer or e-wallet (GCash, BPI, Security Bank, PS Bank, Maya, GoTyme, Netbank, or CIMB Bank). The Client must submit their transaction reference number via the in-app payment form. License activation is manual and subject to ATH•NA's verification.
All fees are quoted in Philippine Peso (₱) and exclusive of applicable government taxes. ATH•NA reserves the right to adjust pricing with 30 days advance notice. Price changes do not apply retroactively to active Lifetime licenses.

Not Included & Not Guaranteed: ATH•NA is not a licensed financial advisor, accountant, or legal consultant. The Financial Tools are organizational aids only. ATH•NA does not guarantee uptime, data persistence, or error-free operation.

License Grant & Restrictions
ATH•NA grants the Client a limited, personal, non-exclusive, non-sublicensable, non-transferable, revocable license to access and use the System solely for their own professional purposes during the active License period.
Strictly prohibited: sharing or transferring the ATH•NA ID; reverse-engineering or decompiling the System; copying or cloning ATH•NA's design or codebase; using one License for multiple users; circumventing license verification.
Each License covers one (1) ATH•NA ID for one (1) individual Client.

Data Ownership, Storage & Retention
The Client retains full ownership of all OS Data and Visitor Data. ATH•NA does not claim any ownership over Client or Visitor data.

The Client is strongly advised to use the Full Backup and Export CSV features regularly. ATH•NA does not sell, rent, or share Client or Visitor data with any third party.

Privacy Policy & RA 10173 Compliance
8.1 Governing Law — All personal data processing is governed by the Data Privacy Act of 2012 (RA 10173), its IRR, and applicable NPC Circulars.
8.2 Roles — ATH•NA is the Personal Information Processor (PIP) for Client account data. The Client is the Personal Information Controller (PIC) for all Visitor Data collected through the vCard Exchange Form, and assumes full legal responsibility for lawful collection and use of that data.
8.3 Data Collected — From Clients: name, position, company, mobile, email, LinkedIn, ATH•NA ID. From Visitors: name, title/company, email, mobile. ATH•NA does not use cookies, tracking pixels, or third-party analytics SDKs.
8.4 Visitor Consent — Visitors are shown a consent notice before submitting their info and retain rights under RA 10173 (Access, Correction, Erasure, Objection, Portability, and to lodge a complaint with the NPC).
8.5 Data Security — In the event of a data breach, ATH•NA will notify the affected Client within 72 hours of discovery.
8.6 Client Obligations — The Client agrees to collect minimal data, use it only for legitimate networking, never sell or share it, and respond to data subject requests within 15 business days.

Acceptable Use Policy
Strictly prohibited and may result in immediate termination without refund: spam, phishing, scamming, or impersonation; collecting Visitor data without consent notice; using Financial Tools for illegal activity or money laundering; injecting malicious code; and any use violating RA 10175, RA 8484, or RA 10173.

Intellectual Property
The ATH•NA name, brand, logo, vCard design, OS interface, and source code are the exclusive intellectual property of ATH•NA, protected under RA 8293. The Client retains full ownership of their profile information and OS Data. This Agreement transfers no IP rights to the Client.

Financial Tools Disclaimer
ATH•NA is not a licensed financial institution, accounting firm, or financial advisor. The Financial Tools are personal organizational aids only and are not substitutes for professional accounting, tax filing, or financial planning. The Client is solely responsible for the accuracy of their financial data and compliance with BIR requirements.

Support & Service Levels
Support is available via phpx.migratex@gmail.com, Monday–Friday, 8:00 AM–5:00 PM PST, excluding public holidays. Target first response: 24–48 business hours. Support does not cover PIN recovery, financial advice, or third-party service outages.

Disclaimers & Limitation of Liability
The System is provided "as-is" without warranties of any kind. Maximum aggregate liability cap: ₱9,999 — regardless of plan type or amount paid. This does not limit liability for gross negligence, fraud, or anything that cannot be excluded under Philippine law.

Force Majeure
ATH•NA is not liable for delays caused by circumstances beyond its reasonable control — natural disasters, government actions, internet/power outages, third-party platform failures, or pandemics. License periods are not automatically extended for such events.

Amendments, Governing Law & Dispute Resolution
Amendments — Material changes require 30 days' notice via email. Continued use after the effective date constitutes acceptance.
Governing Law — This Agreement is governed by the laws of the Republic of the Philippines; proper venue is the courts of Pasig City, Metro Manila.
Dispute Resolution — Direct negotiation (15 days) → formal written demand (15 days) → mediation (30 days) → litigation in Pasig City courts.
This Agreement is the entire understanding between the parties. If any provision is invalid, the rest remains in effect (Severability).
